Terms of Service

These Terms of Service ("Terms") govern your use of the InvoiceDrop website at invoicedrop.net, the InvoiceDrop waitlist, and the InvoiceDrop invoice data extraction service once it becomes available (together, the "Service"). The Service is operated by InvoiceDrop ("InvoiceDrop", "we", "us" or "our"), based in the Republic of Cyprus. You can contact us at info@invoicedrop.net.

By using the website, joining the waitlist or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you confirm that you are authorised to accept these Terms on its behalf, and "you" includes that business. If you do not agree, please do not use the Service.

1. Who the Service is for

The Service is designed for businesses, including accounting firms, bookkeepers and their clients, and is intended for business use. You must be at least 18 years old to use it. The Service is offered to customers in the European Union (including Cyprus) and the United Kingdom, and may be offered in other countries.

2. The waitlist

InvoiceDrop is in development. Joining the waitlist is free and creates no obligation for you to buy anything, or for us to provide the Service or any particular feature. Any early-access invitation, early-member discount or launch date we mention is an intention, not a promise, and the details (including the size and duration of any discount) will be set out when paid plans launch. You can leave the waitlist at any time by emailing us.

3. Your account

When the Service launches, you may need an account to use it. You must give accurate information, keep your login details secure and tell us promptly if you suspect unauthorised use of your account. You are responsible for what happens under your account, including the actions of anyone you invite to it.

4. Plans, fees and payment

Paid plans, their prices and what they include will be shown before you subscribe. Unless stated otherwise:

  • fees are charged in advance for each billing period and renew automatically until you cancel;
  • prices exclude taxes such as VAT, GST or sales tax, which will be added where applicable;
  • you can cancel at any time, and cancellation takes effect at the end of the current billing period;
  • fees already paid are non-refundable, except where these Terms or the law say otherwise;
  • we may change our prices with at least 30 days' notice, and the new price applies from your next billing period.

If a payment fails, we may suspend the Service until it is paid. Payments are processed by a third-party payment provider, and we do not store your full card details.

5. Your documents and data

You keep all rights to the invoices, receipts and other documents you upload and to the data extracted from them ("Your Content"). You give us a limited licence to host, copy, process and transform Your Content only as needed to provide, secure and support the Service for you.

You confirm that you have the right to upload Your Content and to let us process it, including any personal data it contains about your clients, their suppliers or other people, and that you have given any notices and have any legal basis that data protection law requires. Where we process personal data in Your Content on your behalf, we act as your processor (or service provider) and will do so in line with our data processing terms and our Privacy Policy.

You can export Your Content while your account is active. After your account closes, we will delete Your Content within a reasonable period, unless we must keep it by law.

6. Accuracy of extracted data

InvoiceDrop uses automated technology to read documents and extract data. Automated extraction is not perfect: results can be incomplete or wrong, particularly for poor-quality images, handwriting or unusual layouts. Flagging documents for review reduces errors but does not remove them.

You are responsible for reviewing extracted data before relying on it, including before filing tax returns, VAT returns or accounts, or making payments. The Service is a data entry tool. It does not provide accounting, tax, legal or financial advice, and it does not replace the professional judgement of you or your advisers.

7. Acceptable use

You must not:

  • use the Service for anything unlawful, fraudulent or misleading, including creating or altering documents to deceive anyone;
  • upload anything you do not have the right to upload, or content that contains malware;
  • try to gain unauthorised access to the Service, other accounts or our systems, or test their security without our written permission;
  • interfere with or overload the Service, or get around usage limits or security measures;
  • copy, resell or sublicense the Service, or reverse engineer it, except where the law allows this despite this restriction;
  • use the Service to build a competing product, or scrape it with automated tools.

8. Our intellectual property

We, or our licensors, own the Service, the website, the InvoiceDrop name and logo, and all related software and content, other than Your Content. These Terms give you a right to use the Service; they do not transfer any ownership to you. If you send us feedback or suggestions, we may use them freely and without any obligation to you.

9. Third-party services

The Service relies on third-party providers, for example for hosting, email and security checks, and it can produce files for use in third-party accounting software. We are not responsible for third-party products or services, and your use of them is governed by their own terms.

10. Availability and changes

We aim to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance and may change, add or remove features. If we make a change that significantly reduces the Service you have paid for, we will tell you in advance and you may cancel and receive a pro-rata refund of any prepaid fees for the unused period. Early-access and beta features are provided as they are and may change or be withdrawn at any time.

11. Suspension and termination

You can stop using the Service and close your account at any time. We may suspend or end your access if you seriously or repeatedly breach these Terms, fail to pay, or if we must do so by law, and we will give you notice where reasonable. We may also stop offering the Service entirely with at least 30 days' notice, in which case we will refund any prepaid fees for the period after it ends. Sections that by their nature should continue after termination (including sections 5, 6, 8, 12, 13, 14 and 16) will continue.

12. Disclaimer

To the fullest extent permitted by law, the Service is provided "as is" and "as available", and we exclude all warranties, conditions and terms that are not expressly set out in these Terms, whether implied by statute, common law or otherwise, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law:

  • we are not liable for any indirect or consequential loss, or for any loss of profit, revenue, business, goodwill or data, or for penalties, interest or fines imposed by tax or other authorities, arising out of or in connection with the Service;
  • our total liability arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence) or otherwise, is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim and (b) EUR 100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

14. Indemnity

You agree to compensate us for reasonable losses and costs (including reasonable legal fees) arising from a claim by a third party that Your Content, or your use of the Service in breach of these Terms or the law, infringes that party's rights.

15. Your rights under local law

Some countries give customers rights that cannot be excluded by contract. Nothing in these Terms affects those rights. In particular:

  • United Kingdom and European Union: if you are a consumer rather than a business, you also benefit from any mandatory consumer protection laws of the country where you live.

16. Governing law and jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Service, are governed by the laws of the Republic of Cyprus. The courts of the Republic of Cyprus have exclusive jurisdiction to settle any such dispute or claim. If you are a consumer, you may also be entitled to bring proceedings in, and to rely on the mandatory laws of, the country where you live.

Before starting any proceedings, please contact us at info@invoicedrop.net so we can try to resolve the issue informally.

17. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and change the "Last updated" date. If a change materially affects you, we will give you reasonable notice, for example by email, before it takes effect. If you continue to use the Service after a change takes effect, you accept the updated Terms.

18. General

  • These Terms, together with any order form or data processing terms we agree with you, are the entire agreement between you and us about the Service.
  • If any part of these Terms is found to be unenforceable, the rest remains in effect.
  • If we do not enforce a right straight away, we have not given it up.
  • You may not transfer your rights under these Terms without our consent. We may transfer ours, for example to a company that takes over the Service, and will tell you if we do.
  • We are not responsible for delays or failures caused by events beyond our reasonable control.
  • Nobody other than you and us has any right to enforce these Terms.
  • If these Terms are translated, the English version prevails.
